Công ty liên doanh là công ty do hai bên hoặc nhiều bên hợp tác thành lập tại Việt Nam trên các cơ sở Hợp đồng liên doanh giữa các Công ty nước ngoài với Công ty Việt Nam
Theo quy định của pháp luật, Công ty liên doanh được thành lập theo hình thức công ty trách nhiệm hữu hạn hoặc Công Ty Cổ Phần (nếu trên 03 nhà đầu tư). Mỗi bên liên doanh chịu trách nhiệm trong phạm vi phần vốn cam kết góp vào vốn điều lệ của Công ty.
Công ty liên doanh có tư cách pháp nhân theo pháp luật Việt Nam, được thành lập và hoạt động kể từ ngày được cấp Giấy chứng nhận đăng ký đầu tư và Giấy chứng nhận đăng ký doanh nghiệp.
Trong nội dung dịch vụ của Công ty Quốc Luật, Công ty sẽ tư vấn toàn bộ các vấn đề pháp lý liên quan đến hình thức đầu tư này và trực tiếp thay mặt Quý khách thực hiện toàn bộ các thủ tục cấp phép theo quy định của pháp luật.

步骤1：准备必要的文件 / Step 1: Prepare the necessary documents

步骤 2：建立相关文件 / Step 2: Set the relevant documents.
内容：在收到贵方提供的资料后，国律公司将直接按照规定完成所需文件的准备工作。/ After receiving the documents that you provided, the National Law Consultancy Company will complete directly the necessary documents.
步骤3：将文件发送给客户进行检查，并在所有文件上签字。 / Step 3: Proceed to send all documents in order that you can check and sign carefully on them.
步骤4：代表客户提交文件，并处理文件直到获得投资许可证和公司注册证书。 / Step 4: On behalf of customers submission and settlement documents until you are granted Investment Certificate and Business Registration Certificate..

A. 投资者资格证明材料 / Documents to Prove Lawful Source of Investor

请准备以下材料：/ Please prepare Documents as follows:
1.1 外国投资者资格证明材料 / Documents to Prove Lawful Source of Foreign Investor
→公司营业执照复印件（须办理公证认证）。
Copy of the company's license (or any equivalent document) (These documents must be consular legalized)
→ 财务报告（须办理公证认证）。
Financial Statement (Audited) (These documents must be consular legalized)
→提交文件时公司银行账户的确认函（须办理公证认证）。
Audited Company Accounts (These documents must be consular legalized)
→ 公司章程（须办理公证认证）。
Charter of company / Memorandum of Association of Company (These documents must be consular legalized)
→ 代表人护照复印件。
Authenticated Copy of the representative's passport.
注意 / Notes: 从国外获得的文件必须依法进行公证认证，并翻译成越南语。 / These documents from oversea must be consular legalized and translate into Vietnam.

→ 03 份公司注册证书公证复印件。
03 Notary Copy of the Business Registration Certificate
→ 03 份最近两年的财务报告公证复印件。
03 Notary Copy of Financial Statement (Audited) (last year and last two year)
→ 03 份公司银行账户确认函公证复印件。
03 Notary Copy of Company Accounts
→ 03 份公司章程公证复印件。
03 Notary Copy of Charter of company / Memorandum of Association of Company
→03 份代表人身份证/护照公证复印件。

B. 外国投资者和越南公司能力经验证明材料 / Documents to Prove Experienced and Capacity of Foreign Investor and Vietnam Company
